NDSL Terms of Service Agreement

These Terms of Service govern the applicable software offered by NDSL, Inc. The terms (“us”, “we”, or “our”) represent NDSL Inc. NDSL software provides some web based services, referred to a Services, Service, or web service(s) henceforth.
The user of these services acknowledges that web based services are included with the Cellwatch system purchased. The use of these Services are not mandatory but their utilization will be governed by this agreement. Your use of the Service is conditioned on your acceptance of and compliance with all of these Terms. These Terms apply to all operator, users and others who access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service. You further acknowledge and agree that NDSL, Group shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, or services available on or through any such web sites or Services. We are additionally not responsible for unauthorized access if these Services are utilized.
These Terms shall be governed and construed in accordance with the laws of North Carolina, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute, in addition to the end user license, the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
NDSL Inc. will support the Service with corrective content only if the customer has purchased software support. Otherwise, the service is accepted “as is” and NDSL has no obligation to maintain the service.
The user acknowledges that the use of web based services are vulnerable to unauthorized access and may be interrupted due to connectivity issues. Thus, NDSL advises the user of these services to take all necessary precautions to protect the local network and to protect their network as required by the customer’s network administrator. We further recognize the battery data is important and the operator of the Battery Monitoring system is advised to create backup copies of all data the customer considers critical. It is further noted that data can be lost or corrupted when accessing data over a network. NDSL is not responsible for any data integrity issues associated with the network utilized. NDSL services can in some cases create alerts delivered over IP based networks and phone systems. Due to the nature of these services we are not responsible any failure of the Service to deliver alerts.
